1. Introduction & Acceptance of Terms

1.1. These Terms and Conditions of Trade ("Terms") govern the use of the PrintQuote platform, software, and related services operated by Jestr Labs Ltd. The Company No. 17492817 and address at 2-4 Packhorse Road, Gerrards Cross, Buckinghamshire, United Kingdom, SL9 7QE.

1.2. By accessing, registering for, or using PrintQuote, you ("User", "Customer", "You") agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Jestr Labs Service.

2. Description of Service

2.1. PrintQuote provides software tools, algorithms, and data processing to assist 3D printing businesses and operators ("Printers") in generating estimated cost breakdowns, pricing calculations, and material usage estimates for 3D printing jobs.

2.2. PrintQuote is an estimation and operational tool only. It does not manufacture, slice, physical print, or directly sell 3D printed physical goods to end consumers unless explicitly agreed under a separate written master services agreement.

3. Estimations and Pricing Calculations

3.1. Estimates Only: All cost calculations, material usage estimates, time predictions, and pricing outputs generated by PrintQuote are estimates only based on user-input parameters, file data, printer settings, and algorithms.

3.2. No Guarantee of Accuracy: Printing times, material consumption, electricity costs, wear-and-tear, and final job costs can vary depending on real-world factors (including hardware calibration, ambient conditions, machine failure rates, filament density variance, and print failure risks).

3.3. User Responsibility: Users are solely responsible for reviewing, verifying, and setting final prices before quoting their end customers or accepting production orders.

3.4 User choice of printing: Users are solely responsible who they contract for their 3D printing and the associated company and quality management certificates and whether they are ISO compatible.

4. User Accounts and Subscriptions

4.1. You must provide accurate, current, and complete information during registration.

4.2. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

4.3. Subscription fees, usage fees, or payment terms are set out during signup or within your account settings. Payments are non-refundable except where required by applicable law.

5. Intellectual Property & User Data

5.1. Platform IP: All rights, title, and interest in PrintQuote, including code, software design, trademarks, branding and algorithms, remain the exclusive property of Jestr Labs Ltd.

5.2. User Files & Data: You retain ownership of all 3D model files (e.g., STL, OBJ, STEP), CAD data, or job specifications uploaded to PrintQuote.

5.3. License to Process: By uploading files to PrintQuote, you grant Jestr Labs Ltd a limited, non-exclusive, world-wide license to store, process, analyze, and render the files solely for the purpose of providing the estimation and software service to you.

5.4. Warranty on Intellectual Property: You warrant that any files or designs uploaded to PrintQuote do not infringe upon the intellectual property rights, patents, or trade secrets of any third party, and do not violate applicable laws (including restrictions on illegal weapons or dangerous goods).

6. Disclaimer of Warranties & Limitation of Liability

IMPORTANT DISCLAIMER & LIMITATION OF LIABILITY

6.1. "As Is" Basis: PrintQuote and all estimations, reports, and calculations provided through it are supplied on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

6.2. No Financial or Manufacturing Guarantee: Jestr Labs Ltd makes no guarantees, representations, or warranties regarding the accuracy, reliability, or completeness of any cost estimate, print duration, or material calculation produced by the Service.

6.3. Exclusion of Consequential Losses: To the maximum extent permitted by applicable law, Jestr Labs Ltd, its directors, employees, or agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to:

  1. Loss of profits, revenue, or business opportunity;
  2. Lost, misquoted, or unprofitable customer orders resulting from software estimation errors;
  3. Damage to 3D printers, equipment, materials, or physical prototypes;
  4. Data loss or security breaches outside reasonable security controls.

6.4. Cap on Liability: To the extent permitted by law, the maximum aggregate liability of Jestr Labs Ltd arising out of or in connection with these Terms or the use of PrintQuote shall be limited to the total fees paid by You to Jestr Labs Ltd for the Service in the three (3) months preceding the event giving rise to the claim.

7. Indemnification

7.1. You agree to defend, indemnify, and hold harmless Jestr Labs Ltd, its officers, directors, and employees from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to:

  1. Your use or misuse of PrintQuote;
  2. Incorrect quotes or estimates provided by you to your end customers or altered by you and quoting Jestr Labs Ltd;
  3. Intellectual property infringement claims related to files uploaded by you;
  4. Breach of these Terms.
  5. Amend or manipulate the figures/dimensions/quote and present as Jestr quote to third parties.

8. Termination

8.1. Jestr Labs Ltd reserves the right to suspend or terminate your account or access to PrintQuote at any time, with or without notice, if you breach these Terms or engage in fraudulent or unlawful conduct and or misrepresentation to us or third parties.

8.2. You may terminate your account at any time via your registered personal or company account dashboard or by contacting customer support.

9. Governing Law & Jurisdiction

9.1. These Terms shall be exclusively governed by and construed in accordance with the laws of England and Wales.

9.2. Any disputes arising out of or in connection with these Terms or the PrintQuote service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
